　　有效。公司作为独立的企业法人，公司印章是其对外进行活动的有形代表和法律凭证，公司负责人或其他管理人员，经过公司授权后，只是印章暂时的持有者和保管者，其行使公司印章所产生的权利义务，应由该公司来承担责任，而不应由持有者或保管者承担责任。公司自愿将公司印章外借他人使用，应视为公司授权他人使用公司印章，该印章所产生的权利义务关系应由该公司承担。因此，公章外借他人使用并私下签订的担保合同有效，公司需要承担担保责任。
